These Terms of Service (“Terms”) govern your use of TallyCloud (tallycloud.net), a managed cloud hosting service for TallyPrime and approved Windows business applications, operated by [operating legal entity — to be confirmed] (“TallyCloud”, “we”, “us”). By placing an order, starting a trial or using the service, you (“Customer”, “you”) agree to these Terms.
1. The service
We provide cloud workspaces on which you can run TallyPrime and other applications we approve, together with remote access, daily backup, remote printing and support as described for your plan. Plan resources (users, vCPU, RAM, storage, backup policy and support level) are as shown on our pricing page or in your order at the time of purchase.
2. Software licences
You must hold a valid TallyPrime licence, and valid licences for any other third-party software used in your workspace. TallyCloud provides hosting only and does not sell or sublicense Tally software unless expressly agreed in writing. TallyPrime and Tally are trademarks of Tally Solutions Pvt. Ltd. TallyCloud is an independent cloud hosting service and is not affiliated with, endorsed by or sponsored by Tally Solutions Pvt. Ltd. Customers must hold a valid Tally licence.
3. Accounts and access
- You are responsible for the accuracy of your account details and for all activity under your account.
- Each user must have their own login. Keep credentials confidential and tell us promptly about any suspected unauthorised access.
- You are responsible for deciding who in your organisation may access your workspace and for removing access when it is no longer needed.
4. Trials, orders and billing
- Eligible plans include a free trial of 30 days. We may limit trials to one per customer.
- Prices are in Indian Rupees and exclude GST, which is charged at the applicable rate and shown on your tax invoice.
- Subscriptions are billed in advance for the selected term (monthly or yearly) and renew automatically unless cancelled.
- If payment is not received by the due date we may suspend the service after notice. Data is retained for a limited period after suspension, as described in our Cancellation & Refund Policy.
- We may change prices for future terms with prior notice. Price changes do not affect a term you have already paid for.
5. Your data
You retain all rights in the data you store in your workspace. You grant us only the rights needed to host, back up, restore, transfer (at your request) and support that data. You can export your data at any time while your service is active. Our handling of personal data is described in our Privacy Policy.
6. Backups
We perform automated backups according to your plan's backup policy. Backups are a recovery aid, not a guarantee against all loss. You remain responsible for validating restored data and for keeping any additional copies your business or legal obligations require.
7. Acceptable use
You must use the service in line with our Acceptable Use Policy. We may suspend access that threatens the security or stability of the platform or breaches that policy.
8. Service levels
Service levels and any service credits apply only where stated in our Service Level Policy and confirmed in your order.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential loss, or for loss of profits, revenue or data arising from your use of the service. Our total liability in any twelve-month period is limited to the fees you paid us for the affected service in that period.
10. Termination
You may cancel at any time as described in our Cancellation & Refund Policy. We may terminate the service for material breach of these Terms that is not remedied after notice.
11. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by email or in the customer portal before they take effect.
12. Governing law
These Terms are governed by the laws of India. Courts at [city to be confirmed] have exclusive jurisdiction, subject to any mandatory consumer protection rights.
